Seez Platform Terms of Use

§1 General Provisions

  1. These Terms of Use govern the use of the Seez platform (hereinafter: Platform), which enables restaurants to present their menus and accept online orders, and customers to place and pay for orders.
  2. The Platform is operated by Honeybit, registered at Os. 700-lecia 2/70, 34-300 Żywiec, Poland, Tax ID (NIP): 553 25 84 553, email: kontakt@seez.pl (hereinafter: Operator).
  3. The Platform serves as a technical tool acting as a technical intermediary between the restaurant and the customer. The Operator is not a party to the sale agreement between the customer and the restaurant.
  4. Use of the Platform requires being at least 18 years old or having legal guardian consent.
  5. By using the Platform, you accept these Terms of Use.

§2 Definitions

  • Platform — the Seez information system enabling menu presentation, order placement, order management, and payment processing.
  • Restaurant — a business entity using the Platform to present its offerings and accept customer orders.
  • Customer (Guest) — a natural person using the Platform to browse menus and place orders. The Customer does not need to create an account — identification is done via an anonymous cookie (GUID).
  • Order — menu items selected by the customer and submitted through the Platform.
  • Completed Order — an order for which payment has been successfully processed.
  • Subscription — a recurring fee paid by the restaurant for using the Platform.
  • Payment Operator (PayU) — the external payment service provider through which transactions on the Platform are processed.

§3 Scope of Services

  1. The Platform enables:

    • presentation of restaurant menus,
    • placing orders by customers,
    • online payment processing via the payment operator (PayU),
    • QR code scanning to identify location and table.
  2. The Platform does not provide:

    • food preparation or delivery,
    • guarantees of food quality, freshness, or safety,
    • allergen information — this is the sole responsibility of the restaurant,
    • customer service regarding order fulfillment.
  3. The Operator does not guarantee uninterrupted and error-free operation of the Platform. The Operator reserves the right to perform maintenance that may cause temporary service interruptions.


§4 Terms of Use — Customers

  1. Customers may place orders anonymously — identification is done via a cookie (guest ID) without requiring an account.
  2. Placing an order constitutes an agreement between the customer and the restaurant. The Operator is not a party to this agreement.
  3. The customer is responsible for:
    • correctly indicating the table or location,
    • the accuracy of the placed order,
    • reviewing allergen information provided by the restaurant.
  4. The following is prohibited:
    • automated order placement (bots, scripts),
    • copying, extracting, or scraping data from the Platform,
    • abusing the ordering or payment system,
    • impersonating other persons or restaurants,
    • any actions intended to disrupt the operation of the Platform.

§5 Orders and Payments

  1. Order confirmation by the customer constitutes a binding commitment to the restaurant.
  2. Order cancellation is only possible before the restaurant accepts the order. After acceptance, the customer should contact the restaurant directly.
  3. Payments are processed through the PayU payment operator. The Platform Operator does not process or store payment card data.
  4. Payment funds are transferred directly to the restaurant via the payment operator.
  5. Refunds and payment-related complaints are handled by the restaurant, not by the Platform Operator.
  6. The Operator is not liable for PayU service unavailability, payment processing delays, or errors on the payment operator's side.

§6 Complaints

  1. Complaints about food and service — should be directed to the restaurant where the order was placed.
  2. Technical issues with the Platform — should be reported to: kontakt@seez.pl.
  3. The Operator commits to responding to technical issues within 14 business days of receipt.

§7 Terms for Restaurants (B2B)

  1. Subscription: The restaurant uses the Platform under a paid subscription. New restaurants may be offered a one-time free trial period. The subscription renews automatically for subsequent billing periods.
  2. Commission: In addition to the subscription, the restaurant pays a commission on each completed (paid) order, calculated as a percentage of the order value. The commission for each order is rounded up to the nearest grosz (two decimal places). As a result, the actual commission charged may be marginally higher than the exact percentage calculation — by no more than one grosz per order. Example: a 100.05 PLN order at 1% commission yields an exact commission of 1.0005 PLN; rounded up, the charged commission is 1.01 PLN.
  3. Invoicing: An invoice is issued after the end of the billing period. Payment is due within 14 days of the invoice date.
  4. Non-payment: In the event of late payment, the Operator may:
    • suspend the restaurant's access to the Platform,
    • charge statutory interest for late payment,
    • initiate debt collection proceedings.
  5. Restaurant obligations: The restaurant is responsible for:
    • keeping the menu up-to-date and accurate (names, descriptions, prices),
    • providing reliable allergen and ingredient information,
    • food safety and compliance with sanitary regulations,
    • timely order fulfillment,
    • customer service and handling complaints regarding food and services.

§8 Platform Liability

  1. The Platform acts solely as a technical intermediary. The Operator is not liable for:
    • the quality, safety, or taste of served meals,
    • allergic reactions resulting from inaccurate or incomplete information provided by the restaurant,
    • the conduct of restaurant staff,
    • non-performance or improper performance of orders by the restaurant.
  2. The Operator does not guarantee Platform uptime and provides only best-effort availability.
  3. The Operator's total liability to the restaurant is limited to the total fees paid by the restaurant in the preceding 12-month period.
  4. The Operator is not liable for force majeure events, including: server failures, third-party service outages (PayU, hosting), natural disasters, changes in legislation, cyberattacks.

§9 Intellectual Property

  1. All intellectual property rights to the Platform (source code, user interface, brand, logos) belong to the Operator.
  2. By using the Platform, the restaurant grants the Operator a non-exclusive license to display the restaurant's content (menu, photos, descriptions) within the Platform.
  3. Copying, modifying, decompiling, reverse-engineering, or scraping any elements of the Platform without the Operator's written consent is prohibited.

§10 Changes to the Terms

  1. The Operator reserves the right to modify these Terms of Use.
  2. The Operator will notify users of planned changes at least 14 days in advance via the Platform or website.
  3. Continued use of the Platform after the changes take effect constitutes acceptance of those changes.

§11 Termination

  1. Restaurant may discontinue using the Platform at any time. Termination becomes effective at the end of the current billing period.
  2. Operator may terminate the agreement with immediate effect in the event of:
    • material breach of these Terms by the restaurant,
    • non-payment despite a request for payment,
    • conducting illegal activities.
  3. After termination, data is retained in accordance with the Privacy Policy and applicable laws.

§12 Governing Law and Disputes

  1. These Terms of Use are governed by Polish law.
  2. Disputes arising from these Terms shall be resolved by the court having jurisdiction over the Operator's registered seat.
  3. Consumer rights under the Consumer Rights Act of May 30, 2014 remain unaffected.
  4. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

§13 Final Provisions

  1. The rules governing personal data processing are set out in a separate Privacy Policy, which forms an integral part of the terms of use of the Platform.
  2. These Terms of Use constitute the entire agreement between the Operator and the Platform user regarding the use of the services.
  3. The date of the last update to these Terms is indicated at the beginning of this document.
